Relocation Services Terms and Conditions

1. Scope of Services

All Points Relocation Service Inc. (“All Points”) provides relocation services to assist corporate employees with transitioning to new locations. These services may include relocation budgeting, destination assistance, temporary accommodation coordination, household goods move management, policy administration, and expense management, depending on the specific agreement with the client company.

2. Client Responsibility and Cooperation

All Points’ ability to provide efficient services depends on the cooperation and timely provision of information by the client company and their designated employees (“Employees”). The client is responsible for ensuring that Employees adhere to any requirements or timelines necessary for service completion.

3. Confidentiality and Privacy

All Points is committed to maintaining the confidentiality of any personal or corporate information received during the provision of services. All Points will handle personal information per applicable privacy laws, including Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA) and the General Data Protection Regulation (GDPR) where applicable.

4. Service Fees

Service fees are outlined in the specific service agreement with the client. Fees may be subject to annual review or adjustment. Any adjustments will be communicated to the client at least 30 days in advance and are bound by agreed-upon terms.

5. Service Level Commitment and Rebates

All Points is dedicated to meeting the service levels agreed upon in the client’s service agreement. Annual reviews may be conducted to assess compliance. If any service levels are unmet, All Points may provide a rebate based on the terms specified in the agreement, applicable to the impacted areas of service.

6. Liability and Indemnification

All Points will not be liable for any indirect, incidental, or consequential damages arising from the provision of relocation services. Each party agrees to indemnify and hold the other harmless against third-party claims related to any breach of these Terms and Conditions or the service agreement, provided such breach is not due to the indemnified party’s gross negligence or willful misconduct.

7. Term and Termination

Services provided by All Points will be subject to the term specified in the individual agreement. Either party may terminate services per the agreed notice period or in cases of material breach, insolvency, or as otherwise specified. Upon termination, a Wind-down Period may apply to allow for the orderly transfer or completion of active relocation services.

8. Confidentiality of Client and Employee Information

Both All Points and the client agree to maintain the confidentiality of each other’s business and proprietary information. Any personal or confidential information shared in the context of relocation services will be protected under these terms. Disclosure to third parties is prohibited without prior written consent, except as required by law.

9. Insurance Coverage

All Points maintains general liability, professional liability, non-owned automobile liability, and cyber/privacy insurance to cover its obligations in the provision of relocation services. Certificates of insurance are available upon request.

10. Governing Law

These Terms and Conditions, and any associated agreements, shall be governed by the laws of the Province of Ontario, Canada. Any disputes arising from these terms are subject to the exclusive jurisdiction of Ontario courts.
